1. What these terms are for

By downloading or using Lupy you accept these terms. If you do not accept them, do not use Lupy. They cover the Lupy app, the lupy.io website and your account. [LAWYER: click-accept form, consumer disclosure duties]

2. What Lupy is

Lupy is a Mac app that makes several AI providers work together as one team on your projects. Providers you can pick in the app today: Claude, Codex, Gemini and Muse. Lupy does not provide the providers' services; you use them with your own account or accounts you connect. [CONFIRM: is Muse still in the list on release day]

3. Age

You must be at least [AGE — LAWYER] years old to use Lupy.

4. Account

You need an account for payment and the license (login with Google or Apple is now connected to the app; it stays off until release day). The details on your account must be true, and you must not let anyone else use it. The license is personal; you may use it on your own personal devices; today there is no limit on the number of devices. It cannot be transferred, resold or shared. [LAWYER: transfer ban]

5. License

We give you a non-exclusive, non-transferable, revocable right to use Lupy for your own work. The code, name, mascots and design of Lupy belong to us or our licensors; no ownership passes to you. You may not extract the source code, copy and redistribute Lupy, or try to bypass license checks. [LAWYER: reverse-engineering ban vs. local law]

The license is checked in the cloud: Lupy sends your device ID to our server so it can check that your license is still valid; if you have signed in, the account identity token goes in the request header. Today this request does not go out by itself on a timer; it goes only when you come back from the payment screen and after login, and not at all if no server address is set. What will be sent and how it is kept is in the Privacy page, "License renewal". [DOĞRULA: the renewal body carries only the device ID; the login flag is off] [LAWYER: telling the user about the check, data transfer]

If your subscription ends, the plan is that the core of Lupy stays open: your core features keep working; only the features that need the cloud and new-version downloads close. In a build with the cloud-license flag on, an expired license counts as "frozen", does not lock the app, and while frozen "Check for updates" makes no connection to the server (measured by unit test). Which cloud features close, and the definition of "core", were not measured: [CONFIRM: product fact, which features close] [LAWYER: definition of "core", fit with the other sections] [DOĞRULA: frozen state].

6. Two ways to buy

  • Monthly subscription: $14.99 per month. The first month is 50% off ($7.50); the discount applies to the first period only. It renews every month; you can cancel at any time. If you cancel, you keep using Lupy until the end of the period you paid for, then it locks.
  • Lifetime license: one time, $199. Updates for the first year after purchase are included; after that they are optional, the yearly renewal is $79. See the Refunds and lifetime license page.

There is no free trial. The price shown on the pricing page on the day of purchase applies. Taxes are [included / added — LAWYER + CONFIRM].

7. Payment

Stripe takes the payment. Your card details do not reach us; they stay with Stripe. A subscription is charged to your card automatically each period until you cancel; we also send a reminder before renewal [LAWYER: required advance-notice period in some places]. If a payment fails we allow a short grace period ([DAYS — CONFIRM]); after that the subscription is expired. If the price changes we write to current subscribers at least [DAYS — LAWYER] ahead.

8. Cancelling

You cancel inside Lupy or on your account page; no phone call or letter is needed. Cancellation takes effect at the end of the paid period you are in. For refunds see the Refunds and lifetime license page.

9. AI can make mistakes

Lupy and the providers behind it can produce wrong, incomplete or unsuitable results. Checking results before you use them is up to you. Lupy tells you in the chat that you are talking to an AI.

10. Approval is yours

Actions that leave your Mac, such as sending an email or adding, changing or deleting a calendar event, wait for your approval every time. You are responsible for the outcome of what you approve.

11. Provider terms

When you use a provider, that provider's own terms and acceptable-use rules also apply to you, and you must follow them. Lupy does not broker or resell anyone's subscription login or usage rights. If a provider changes its quota, price or rules, Lupy is not responsible for the result. [LAWYER]

12. What you must not do

  • Anything illegal or harmful to others.
  • Use that breaks a provider's rules.
  • Connecting another person's account or key without permission.
  • Trying to bypass Lupy's approval steps or license checks.
  • Sharing or reselling the license.

13. Closing your account

If you seriously break these terms we may suspend or close your account or license; where possible we write to you first. When we close an account because of a breach, there is no refund; where the cause is our mistake or our shutting down the service, the Refunds and lifetime license page applies. You can delete your account whenever you want; see «Deleting your account and what remains» in the Privacy text. [LAWYER: grounds, notice duty]

14. Availability and limit of liability

Lupy is provided as it is; we do not promise it will run without interruption or errors. As far as the law allows, we are not liable for indirect losses (such as lost profit or data) arising from Lupy, and our total liability is limited to the amount you paid us in the [PERIOD — LAWYER] before the event. Rights that the law does not allow to be limited, including your consumer rights, stay. [LAWYER: whole paragraph]

15. Service changes and shutdown

We improve Lupy and may add or remove features. If we shut Lupy down completely we announce it at least [DAYS — CONFIRM] ahead; in that case the shutdown rule on the refund page applies to lifetime-license holders and to subscribers whose paid period has not ended. [LAWYER + CONFIRM]

16. Changes to the terms

If the terms change, the new version is published at this address with its update date; we plan to announce important changes separately by email or in the app; this is not built yet. [DAYS — LAWYER] is allowed before they take effect. If you do not accept a change you can cancel your subscription. [LAWYER]

17. Governing law and disputes

These terms are governed by the law of [Delaware, USA — LAWYER]. If you live in Turkey, the EU or elsewhere as a consumer, the mandatory consumer-protection rules of your place of residence, and your right to go to local courts or consumer arbitration bodies, stay. [LAWYER: whole paragraph]
